Referral Program Terms & Conditions


Effective Date: 11-1-2025 

  1. Program Eligibility
  • Registration to become a referral partner (Hereafter “Partner”) is open to existing customers, business partners, and US Citizens over the age of 18+. 
  • Employees of NUPC LLC (Hereafter “NUPC”), NUPC’s vendors, or any family members are not eligible under this program. 
  • The prospective Partner is not prohibited by any governing authority including professional boards accepting compensation.  
  • Acceptance into the referral program shall be at the sole discretion of NUPC. 
  • Referrals involving healthcare providers, medical practices, or other entities subject to federal or state healthcare referral restrictions are excluded. 
  1. Referral Process
  • A referral is defined as a personal introduction to a potential client to NUPC by a Partner. 
  • Partner registers their referrals by submitting the business name and contact information through the official referral form on our website or via email to sales@nupctech.com. 
  • The referral registration shall be valid when accepted and approved by NUPC. 
  • The referred company has not conducted business NUPC in the prior 12 months, does not have an active opportunity in NUPC’s CRM and does not otherwise have an active registration. 
  • The approval shall be considered temporary until the following conditions have been met: 
  • The Partner has made a personal introduction between the potential client and a member of NUPC’s account sales team (Hereafter “Sales”). 
  • The potential client has met with Sales. 
  • Sales, at its sole discretion, has determined that there is both a valid need and a realistic opportunity and creates a sales opportunity in NUPC’s CRM. 
  • The Partner’s role ends once the introduction is made, and are not authorized to negotiate, present proposals, or represent NUPC in any capacity. 
  • If a referral registration is approved, it will expire after 90 days if the company does not sign a contract. The registration may be extended at NUPC’s sole discretion. 
  1. Qualification for Compensation

An approved referral registration is considered qualified for compensation (Hereafter “Qualified”) when all of the following conditions are met: 

  • Referral is approved by NUPC. 
  • The referred company signs a contract for managed IT services with a minimum 12month term. 
  • The contract is in force for 60 days. 
  1. Compensation
  • Compensation is a onetime payment only, based on the MRR of the contract, as outlined in the official Referral Compensation Chart. 
  • No recurring commissions, residuals, or ongoing payments will be made. 
  • The Partner may choose either account credits or cash equivalent for the qualified referral. 
  • Rewards are issued within 30 days after the registration is Qualified and the Customer has paid their invoices in full. 
  1. Referral Reward Limits, Rollover, and Upgrade Path
  • Annual Cap Referral rewards are capped at a maximum of $5,000 per participant per calendar year. Once this cap is reached, no additional cash or credit rewards will be issued under the Referral Rewards Program for that year. 
  • Rollover Option If a qualified referral is submitted after a Partner has reached the annual cap, the referral will be recorded and credited toward the following calendar year. Payment for such rollover referrals will be issued on or after January 1st of the new year, provided the referred client has met all qualifying conditions. 
  • Upgrade Path Participants who consistently reach the annual cap or demonstrate significant referral activity may be invited by NUPC to transition into a formal Channel Partner or Reseller Agreement. These agreements provide recurring commissions or wholesale pricing and include additional rights and responsibilities. Participation in the Referral Rewards Program does not guarantee eligibility for such agreements, and invitations are extended at the sole discretion of NUPC. 
  1. No Agency or Employment Relationship
  • Participation in this program does not create any contract, partnership, joint venture, agency, or employment relationship between the referrer and NUPC. 
  • Referrers have no authority to act on behalf of NUPC, make commitments, or bind the company in any way. 
  1. Intellectual Property & Brand Use
  • Referrers may not use NUPC’s name, logo, trademarks, marketing materials, sales brochures, or other intellectual property without prior written consent. 
  • Referrers may not present themselves as employees, agents, or representatives of NUPC. 
  1. Taxes & Reporting
  • Referrers are responsible for any applicable taxes on rewards. 
  • NUPC may issue IRS Form 1099NEC for participants who receive $600 or more in a calendar year. 
  1. Limitation of Liability
  • Participation in the Referral Rewards Program is voluntary. Submission of a referral does not obligate NUPC to enter into an agreement with the referred company. 
  • NUPC is not responsible for lost, late, misdirected, incomplete, or invalid referrals, or for technical errors that may prevent receipt of a referral submission. 
  • Referral rewards are limited to the onetime payments described herein, and NUPC shall not be liable for any expectation of future or additional compensation. 
  • The maximum liability of NUPC to any participant under this program shall not exceed the total referral rewards earned by that participant in the applicable calendar year, in accordance with these Terms & Conditions. 
  • NUPC shall not be liable for any losses or damages resulting from modification, suspension, or termination of the Referral Rewards Program. 
  1. Governing Law & Jurisdiction
  • These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. 
  • Any disputes arising under or in connection with this program shall be subject to the exclusive jurisdiction of the state and federal courts located in Sarasota County, Florida. 
  1. Terms and Conditions are subject to change at NUPC’s sole discretion at any time.

  2. Severability
  • If any provision of these Terms & Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. 
  1. Entire Agreement
  • These Terms & Conditions constitute the entire agreement between participants and NUPC with respect to the Referral Rewards Program and supersede any prior communications or understandings.
